These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Llewellyn Systems Inc (“Llewellyn Systems,” “we,” “us,” or “our”) governing your access to and use of ODE Boutique Equity, including the AI investment operations agents, portfolio analytics tools, investor reporting dashboards, all associated software, APIs, documentation, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

  • “AI Agents” means the specialized investment operations agents operated as part of ODE Boutique Equity: DEALFLOW, DILIGENCE, PORTFOLIO, INVESTOR, CAPITAL, and SENTINEL-PE.
  • “Customer Data” means all data submitted to the Services including deal pipeline data, portfolio metrics, LP communications, and fund accounting records.
  • “Fund Data” means fund-level financial records, NAV calculations, waterfall computations, capital account statements, and other fund accounting information.

2. Subscription Terms

2.1 Tiers. ODE Boutique Equity is available in three subscription tiers: Emerging Fund (2 agents, $999/mo), Growth Fund (4 agents, $2,999/mo), and Institutional (6 agents, custom pricing). Features and agent availability vary by tier.

2.2 Not Investment Advice. The Services are designed to automate investment operations workflows. They do not constitute investment advice, recommendations, or solicitations. Customer remains solely responsible for all investment decisions.

2.3 Data Handling. Customer fund data is processed securely. Llewellyn Systems does not make investment decisions or provide portfolio recommendations based on your data.

3. Disclaimers

3.1 Not Investment Advice. ODE Boutique Equity provides investment operations automation tools. Our AI agents' outputs do not constitute investment, legal, or financial advice. Consult qualified professionals for investment guidance.

3.2 AS IS. THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LLEWELLYN SYSTEMS' TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LLEWELLYN SYSTEMS BE LIABLE FOR INVESTMENT LOSSES, MISSED OPPORTUNITIES, OR FUND PERFORMANCE RESULTING FROM CUSTOMER'S USE OF THE SERVICES.

5. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in Alameda County, California.
